Terms of Service

These terms are between you and JINOVA AI LTD and govern your use of the Jinova AI console.

These terms are between you and JINOVA AI LTD (“Jinova”, “we”, “us”), a company registered in England and Wales, company number 17387234, registered office 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom. They govern your use of the Jinova AI console at this site.

Our Acceptable Use Policy, Credit & Refunds policy and Data Processing Terms form part of these terms. Our Privacy Notice explains how we handle personal data; it is information, not part of this contract.

1. Your account

You need an account to use Jinova. You are responsible for what happens under it, for keeping access to your email secure, and for the accuracy of what you tell us. Do not share your account with anyone who should not be able to spend your credit or read your files.

You must be 18 or over, and able to enter a contract in your jurisdiction. If you are using Jinova for an organisation, you confirm you may accept these terms for it.

2. What the service is

Jinova runs AI media tasks you choose — for example transcription or image upscaling — on files you upload, and returns the result.

You are buying a Jinova service, not compute from anyone else. We run your job on infrastructure we select and manage. Which provider or hardware we use is our implementation decision and may change, unless you have explicitly chosen a provider through an advanced option where one is offered; adding a provider that receives your files follows the notice process in our Data Processing Terms. We do not create, sell or transfer any account or relationship between you and a compute provider.

Jinova Compute is for everyone. Individuals, creators, freelancers, businesses and organisations may all buy credit and run jobs. You do not have to be acting for business purposes, and we will never ask you to say that you are.

If you are a consumer, you have rights under UK consumer law that these terms do not and cannot take away. Where anything here conflicts with those rights, your rights win. Cancellation is explained in Credit & Refunds.

3. Your files and your instructions

Your content stays yours. Uploading a file to Jinova transfers no ownership of it, and no ownership of what a job produces from it.

To do the job you ask for, we need your permission to handle that content. By submitting a job you give us permission to store, transmit and process your uploaded files and the results, and to have the providers we use do the same on our behalf, for the purpose of providing the service to you and for as long as we hold the content under our retention policy. That permission covers nothing else. Where your content contains personal data, we process it on your behalf, only to provide the service you asked for, as our Data Processing Terms describe.

We do not use your content to train Jinova models. Details of the providers involved in running your jobs are on our Service Providers & Subprocessors page.

You confirm you have the rights needed for the content you upload and for what you ask us to do with it. Where it contains personal data about other people, that includes the legal right to provide it to us and to have it processed through Jinova — an appropriate lawful basis, and any notices, permissions or consents the law requires — and you are responsible for your own processing being lawful. Some tools need more than that; our Acceptable Use Policy explains when.

4. Price, credit and charging

Jinova runs on prepaid credit. You add credit, and running a job spends it. Credit, prices and your balance are denominated in US dollars (USD), whatever currency your card is billed in. Your bank may apply its own conversion rate or fees, which are a matter between you and them.

Before a job runs, we show you the amount you must approve. Depending on the workload, that amount may be a fixed price or a maximum charge. Nothing runs until you approve it, and you are never charged more than the amount you approved for that job.

A minimum charge applies to each job. In a batch, each item is a separate job, so the minimum applies to each item.

If we hold more than the final charge for a job, the unused amount becomes available in your balance again.

A failed run is not charged. If a job fails, the whole held amount is released.

Occasionally we cannot initially determine whether a job started. When that happens some credit may remain held while we investigate. Once we establish the outcome, the appropriate amount is charged or released. We will not charge you for work that did not run.

If you are a consumer, you normally have 14 days to change your mind about credit you have bought, and we will refund credit you have not spent. Because a job starts as soon as you confirm it, you are asking us to begin that job straight away, and a job that has finished cannot be undone. Unused credit you paid for remains refundable in accordance with our Credit & Refunds policy.

Full details are in Credit & Refunds.

5. Availability and limits

Jinova depends on third-party compute capacity, which is not always available. Jobs can queue, fail, or be refused when capacity is short.

Technical, rate, concurrency, monetary and other service limits may apply — for example on file size and length, on how many jobs you can run at once, on what a single job may cost, and on how much credit may be held for runs in progress. Where a limit is relevant to you we will communicate it through the console, a quote, our documentation, a refusal message or another part of the service. Limits may change.

We do not promise any particular level of availability, processing time, or output quality. AI output varies, and a result that is technically produced may still not be what you wanted — that is not a fault we can undertake to correct.

6. Things you must not do

Our Acceptable Use Policy sets out what you may not use Jinova for. Breaking it is breaking these terms.

7. Suspension

We may suspend new activity on an account where we reasonably believe it is necessary — for example a breach of these terms or the Acceptable Use Policy, a payment problem, suspected fraud, or a legal requirement.

Suspension is forward-looking. While an account is suspended you can still sign in, see your jobs, download results you already have, see your balance and history, delete your own files, and contact us. What stops is new activity: new jobs, new runs and new credit purchases. We will tell you that the account is suspended when you try one of those.

8. Deleting your content, and how long we keep it

You can delete a job’s files and results yourself using Delete job & files. You can do this once the job has finished and any charge for it has settled. A job cannot be deleted while it is still processing, or while a charge for it is still being resolved, because the files are the evidence for what you were charged.

We also delete content automatically. Each kind of content is scheduled for deletion once its retention period has passed; the periods are set out in our Privacy Notice. Automated deletion runs regularly, and an attempt that fails is retried. A retention period is not a commitment to keep anything for that long — you can delete a job’s files sooner, as described above. Records kept for other reasons, such as billing and accounting (below) or the security and operation of the service (described in our Privacy Notice), are not deleted on that schedule.

The words of your transcripts are not kept in our analytics or operational records. The transcript itself is a result, deleted on the schedule above; what we otherwise record about a transcription is information such as how long the recording was, how many segments it produced and which language was detected — not what was said.

Records about money are kept separately, and for longer. Deleting a job removes your files and results; it does not remove the record that the job existed and what it cost. We keep billing and accounting records generally for six years after the end of the company financial year to which the records relate, and longer where we are required to do so by law, as explained in our Privacy Notice. Keeping those records does not extend how long we keep your uploaded files or results.

9. Our intellectual property

The Jinova console, brand and software are ours. These terms give you permission to use the service, and nothing else.

10. Changes

We may change the service, and we may change these terms. If we make a material change to these terms we will ask you to accept the new version before you next add credit or start a run. Your existing jobs, results and balance remain available to you in the meantime.

Previous versions stay published, so you can always see what you agreed to and when.

11. Ending your use

You can stop using Jinova at any time. We may end or restrict your access where you have breached these terms or where we are required to.

If your access ends, credit you have paid for and not spent is normally refundable to your original payment method where that is reasonably possible. We may deduct or set off amounts you lawfully owe us. Promotional, granted or bonus credit has no cash value and is not refundable. Contact us and we will deal with it — see Credit & Refunds.

12. If something goes wrong

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded. If you are a consumer, you have legal rights that these terms do not affect.

Subject to that: we provide the service with reasonable care and skill, but we do not guarantee that it will be uninterrupted, error-free, or that any particular result will meet your needs. We are not liable for loss of profit, loss of business, or loss of data that you could have avoided by keeping your own copies of files you upload.

If you are using Jinova for business purposes, our total aggregate liability to you in contract, tort (including negligence), breach of statutory duty or otherwise, for all claims connected with the service, is limited to the greater of (a) US$100 and (b) the fees you actually paid us in the twelve months before the event giving rise to the claim. This limit does not apply to anything set out in the first paragraph of this section.

If you are a consumer, nothing in these terms limits your statutory rights, including your rights if the service is not carried out with reasonable care and skill or is not as described. The limit in the paragraph above applies to business customers only.

Please keep your own copies of anything you upload. Jinova is not a backup service, and we remove content on the schedule described in our Privacy Notice.

13. Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer resident elsewhere in the United Kingdom, you may also bring proceedings in your local courts.

13a. If you are outside the United Kingdom

You are welcome to use Jinova from outside the United Kingdom. Choosing English law does not remove any protection given to you by rules that cannot be departed from under the law of the country where you live.

Acceptable Use Policy

What you may not use Jinova AI for. It is short on purpose.

This policy is part of our Terms of Service. It covers what you may not use Jinova AI for.

Do not use Jinova to

  • Break the law, or help anyone else to.
  • Use content you have no right to use — anything that infringes someone else’s copyright, trade marks, privacy or other rights.
  • Impersonate a real person or organisation, or make content designed to deceive people about who said or did something. This includes synthetic audio, video or images of a real person presented as genuine.
  • Create sexual content of a real person without their consent. There is no context in which this is acceptable.
  • Create or distribute material that sexually exploits or abuses children, in any form. There is no exception to this.
  • Harass, threaten, or incite violence against anyone, or produce content promoting terrorism or violent extremism.
  • Distribute malware, attempt to breach any system, or use Jinova as part of an attack on anyone.
  • Interfere with the service — attempting to bypass limits, quotas, billing, account separation or security; probing for weaknesses without our written permission; or reverse-engineering the service.
  • Overload the service, including automated use at a volume that degrades it for other customers.
  • Upload content you are not permitted to send to a third-party processor — for example material covered by a confidentiality obligation that does not allow it.
  • Process especially sensitive information on purpose without our written agreement. This covers three distinct things: (a) special-category personal data under UK GDPR — personal data revealing racial or ethnic origin, political opinions, religious or philosophical beliefs or trade union membership, and genetic data, biometric data used to identify someone, data concerning health, and data concerning sex life or sexual orientation; (b) criminal-offence data — personal data relating to criminal convictions, offences or related security measures; and (c) other particularly sensitive information, which is not special-category data but which we still will not accept by default, such as payment card details, government identity documents, or personal data about children. Do not submit any of these where processing that information is what the job is for — for example building records of people’s health or beliefs, or identifying people from their face or voice — unless we have expressly agreed in writing to process that category. Information like this that simply comes up in an ordinary recording is dealt with in the next section.

Other people in what you upload

Recordings, images and documents often include other people. If what you upload contains personal data about someone else, you must have the legal right to provide it to us and to have it processed through Jinova — including an appropriate lawful basis, and any notices, permissions or consents the law requires. What the law requires depends on the content and on why you are using it. Working that out is your responsibility; we do not decide your lawful basis for you.

An ordinary recording is not prohibited because of what someone says in it. People mention their health, beliefs, politics and other sensitive matters in everyday conversation, and transcribing a recording in which that happens does not by itself breach this policy. You remain responsible for your processing being lawful, including meeting any additional legal condition that applies to information of that kind. What this policy restricts is processing especially sensitive information on purpose, as set out above.

Tools that change how a person looks or sounds need more than that. Where a tool alters, imitates or manipulates a real person’s appearance or voice — for example making someone appear to say words they did not say — you must have that person’s permission for what you are asking us to do, or another authority that expressly covers it, such as a licence. If you do not, do not upload it.

If something breaches this policy

We may refuse or stop a job, suspend new activity on an account, or end access. Where we are legally required to report something, we will.

Reporting

If you believe something on Jinova breaches this policy, tell us using the Abuse or safety option on our support page, or email support@jinovaai.com.

Credit and refunds

How prepaid credit works, what a job costs, and how to get money back.

Jinova runs on prepaid credit. This page is part of our Terms of Service and explains how credit works and what happens when you want money back.

Two kinds of credit

All credit, prices and balances are in US dollars. Your card may be billed in another currency at your bank’s rate.

Credit you buy. You pay us, and it goes into your balance.

Credit we give you. Promotional or goodwill credit we add ourselves. It works the same way when you spend it, but it has no cash value and cannot be refunded.

When you run a job, we spend promotional credit first, so credit you paid for stays in your balance for as long as possible.

What a job costs

Before a job runs, we show you the amount you must approve. Depending on the workload, that amount may be a fixed price or a maximum charge. Nothing runs until you approve it, and you are never charged more than the amount you approved for that job.

A minimum charge applies to each job. In a batch, each item is a separate job, so the minimum applies to each item.

If we hold more than the final charge for a job, the unused amount becomes available in your balance again.

If a job fails, you are not charged and the entire held amount is released.

Occasionally we cannot initially determine whether a job started. Some credit may remain held while we investigate — usually by checking with the provider that runs the job. Once we establish the outcome, the appropriate amount is charged or released. Held credit is not spendable while that is open, which is why we resolve it rather than leave it.

Does credit expire?

Credit you have paid for does not routinely expire. Going a long time without using Jinova does not cost you your balance.

Unused credit you paid for may be refundable to your original payment method, subject to matters such as chargebacks, suspected fraud, legal restrictions, and amounts already spent or currently held for a run.

Getting money back

Unused credit you paid for can be refunded on request, where that is appropriate. Contact us using the Billing or credit option on our support page and tell us what you would like refunded.

  • Refunds go back to the card or payment method you paid with. We cannot send them anywhere else.
  • We refund credit you paid for and have not spent. Credit we gave you, and credit already spent on jobs that ran, are not refundable.
  • There is no refund button in the console. A refund is a conversation, and we would rather have it than have you guess.

If your account is closed

If we end your access to Jinova, credit you have paid for and not spent is normally refundable to your original payment method where that is reasonably possible — including where we ended your access because of a breach. We may deduct or set off amounts you lawfully owe us. Promotional credit has no cash value and is not refundable in any circumstance.

If you are a consumer

Nothing on this page affects your legal rights as a consumer.

You normally have 14 days to change your mind about credit you have bought. Tell us within that time and we will refund credit you have not spent, to the payment method you used.

When you confirm a job you are asking us to start it immediately rather than waiting. A job that has already finished cannot be cancelled afterwards simply because you changed your mind, because the work has been done. That applies only to jobs that actually ran. Unused credit you paid for remains refundable, and this does not affect your rights if a job was faulty or not as described.

To exercise any of this, use the Billing or credit option on our support page. You do not have to give a reason, and you do not have to be a business.

Something wrong with a charge?

Your balance page shows every transaction. If one looks wrong, contact us with the job reference — we keep enough of a record to explain any charge, even after the files are deleted. We keep billing and accounting records generally for six years after the end of the company financial year to which the records relate, and longer where we are required to do so by law.

Data Processing Terms

How we process personal data in your content on your behalf, and what each of us is responsible for.

These terms are part of our Terms of Service. They apply only when, and only to the extent that, we process personal data on your behalf to provide the service — for example, personal data in a recording you ask us to transcribe.

They do not cover personal data we process for our own purposes: running your account, sign-in, billing and payments, preventing fraud and abuse, keeping the service secure and working, and keeping the records the law requires. We decide how that data is used, and our Privacy Notice explains it.

1. What these terms cover

Customer Personal Data means personal data in the files you upload to Jinova, and in the results a job produces from them, that we process on your behalf to provide the service you ask for.

Data protection law means the UK GDPR, the Data Protection Act 2018, and any other data protection law that applies to the processing.

The Schedule at the end of these terms describes the processing: its subject matter and duration, its nature and purpose, the types of personal data involved, and the people it concerns.

2. Who decides what

You decide why Customer Personal Data is processed. For that data you are the controller — or, where you act for another organisation, you are a processor for that organisation, which is the controller.

We process Customer Personal Data on your behalf, only to provide the service you asked for. We act as your processor, or as your subprocessor where you are yourself a processor.

These roles follow from who decides why and how the data is processed, not from the labels in these terms.

3. Your instructions

We process Customer Personal Data only on your documented instructions. Your instructions are these terms, the rest of our Terms of Service, and the jobs you submit — the tool you choose, the files you give it and the settings you select, through the console or any other way we offer to submit them.

The only exception is where the law requires us to process it in another way, including to transfer it. If that happens, we will tell you before we do so, unless the law prohibits telling you.

If we think an instruction breaks data protection law, we will tell you immediately, and we do not have to follow it.

4. Your responsibilities

You are responsible for the processing you ask us to do being lawful. That includes having the legal right to provide Customer Personal Data to us and to have it processed through Jinova — an appropriate lawful basis, and any notices, permissions or consents the law requires — and meeting any additional condition the law sets for special-category or criminal-offence information. We do not decide your lawful basis for you.

Where you are a processor acting for another organisation, you confirm that its instructions allow what you ask us to do, including our use of the subprocessors described below.

Your use must also comply with our Acceptable Use Policy.

5. Confidentiality and security

We make sure that everyone we authorise to process Customer Personal Data is bound by a duty of confidentiality.

We take appropriate technical and organisational measures to protect Customer Personal Data, taking into account the state of the art, the cost of implementation, the nature, scope, context and purposes of the processing, and the risks to the people concerned. The measures in place when these terms took effect are described in the Schedule.

6. Subprocessors

You give us general authorisation to use subprocessors: the providers our Service Providers & Subprocessors page identifies as receiving your uploaded files, to process Customer Personal Data as that page describes.

Before a subprocessor processes Customer Personal Data, we put in place a contract that imposes on it data protection obligations giving the same protection as these terms, including sufficient guarantees of appropriate technical and organisational measures. Where a subprocessor fails to meet those obligations, we remain responsible to you for its performance of them, to the extent data protection law requires.

Changes. Before we add or replace a subprocessor that receives your uploaded files, we will update that page at least 30 days before it starts processing Customer Personal Data. If a change is needed urgently to keep the service secure or available, we will update the page as soon as we reasonably can.

Objecting. You may object to a change on reasonable grounds relating to data protection, using the Privacy or data request option on our support page. We will discuss your objection with you in good faith. If we cannot reasonably resolve it — for example by not using that subprocessor for your jobs — you may stop using the affected part of the service, and unused credit you paid for can be refunded on request, as our Credit & Refunds policy describes.

7. Transfers outside the UK

We will transfer Customer Personal Data outside the UK, or allow a subprocessor to, only in compliance with data protection law — for example to a country the UK recognises as providing adequate protection, or with appropriate safeguards that data protection law recognises.

8. Helping you meet your obligations

Requests from individuals. Taking into account the nature of the processing, we help you, by appropriate technical and organisational measures where possible, to respond to people exercising their data protection rights. The console lets you find, download and delete your jobs’ files and results yourself. If someone asks us directly about Customer Personal Data, we will not answer the request ourselves: we will tell them to contact you, and let you know about the request where we can identify you.

Security, breaches and impact assessments. Taking into account the nature of the processing and the information available to us, we help you meet your obligations on the security of processing, on personal data breaches, on data protection impact assessments, and on consulting the Information Commissioner’s Office.

Personal data breaches. If we become aware of a personal data breach affecting Customer Personal Data, we will tell you without undue delay, and give you the information we have that you reasonably need to meet your own obligations.

9. Deletion and return

You can download your results, and delete a job’s files and results, whenever the console allows it. Content is also scheduled for deletion once its retention period has passed, as our Privacy Notice describes, and a deletion attempt that fails is retried.

When we stop providing the service to you, we delete the Customer Personal Data that remains on that schedule, unless the law requires us to keep it; download anything you want to keep before then. Records we keep for our own purposes, such as billing records, are not Customer Personal Data, and are kept as our Privacy Notice describes.

10. Information and audits

We will make available to you the information reasonably necessary to show that we meet our obligations under these terms, including by answering reasonable written questions. We will allow for and contribute to audits, including inspections, by you or an auditor you appoint, on reasonable notice and at reasonable intervals, subject to appropriate confidentiality and to protecting the security of the service and of other customers’ data.

11. If we act outside your instructions

If we were to decide for ourselves why or how Customer Personal Data is processed, we would be a controller for that processing, and responsible for it as a controller is under data protection law.

12. How these terms fit with the rest

These terms apply for as long as we process Customer Personal Data on your behalf. If they conflict with anything else in our Terms of Service about the processing of Customer Personal Data, these terms take priority.

Schedule: the processing

Subject matter. Providing the compute services you request through Jinova: running the tools you choose on files you upload, and returning the results.

Duration. For as long as needed to provide the service you requested, and then until the content is deleted under the retention and deletion process in our Privacy Notice.

Nature and purpose. Storing files and results; inspecting files to check they can be processed; running the tool you chose on compute infrastructure; checking results before you are charged; making results available to you; and deleting content. The only purpose is to provide the service you asked for.

Transcription, step by step. When you ask for a transcript we store your recording in private storage; read bounded parts of it to identify its format and measure its duration, which decides whether it can be accepted and what it costs; transfer it, through time-limited links, to the compute infrastructure that transcribes it; produce a transcript and timed segments, with the language detected; verify the result before you are charged; make the transcript and segments available only to you, after you sign in; and delete the recording and the results under the retention and deletion process.

Types of personal data. Whatever personal data your content contains, which may include: audio and video recordings; images and video, where other tools are used; speech and voice; transcripts; timed segments and language information derived from recordings; personal data about other people contained in your content; and special-category information, where your content contains it. Transcription does not identify anyone from their voice.

People concerned. Your personnel; your customers or users; people who appear or speak in content you upload; and other people described in that content.

Security measures. Uploaded files and results are held in private storage that is not publicly accessible. Access to a file is given through short-lived links for that one file: an upload link lasts one hour, a download link fifteen minutes, and the links the compute infrastructure uses to read an input and write a result six hours. Customers can reach only their own jobs and files, after signing in. Where our service reads a file itself, it reads only what it needs for that purpose, and keeps none of the file content it reads. Transcript text is not written to our logs, analytics or operational records. Connections to Jinova and to the services we use are encrypted in transit, and access to our systems is restricted to people who need it.

Subprocessors. The providers our Service Providers & Subprocessors page identifies as receiving your uploaded files.
